SOUTH BREVARD GARDEN CLUB ASSOCIATION

BYLAWS

ARTICLE I: NAME

The name of this organization shall be the South Brevard Garden Club Association (hereinafter referred to as “SBGCA" or “the Association”).

ARTICLE II: OBJECT

The objectives of this organization are:
1. To foster connections among garden club members, aspiring gardeners, and the broader community in South Brevard.
2. To enhance understanding of horticultural practices, promote conservation efforts, inspire floral design creativity, and advocate for civic beautification initiatives.
3. To promote community involvement through gardening activities and events.

ARTICLE III: MEMBERSHIP

Section 1: Eligibility
Any garden club or horticultural society located within South Brevard that has an interest in the objectives of SBGCA and is willing to participate actively in the programs of the association shall be eligible to become a member club of SBGCA by passing a resolution stating such intent.

Section 2: Requirements

-  Approved clubs shall not be required to pay annual dues as a condition of their membership.

-  All clubs shall contribute equally to cover the costs associated with website hosting and email

distribution. The amount of this shared fee shall be determined annually by the Board and

communicated to all club representatives in advance.

-  All clubs shall be responsible to host one meeting per year by providing a speaker related to

the objectives of the Association and a light luncheon for all in attendance.

Section 3: Voting Rights
Each member club shall appoint one Voting Delegate. Member clubs shall have one vote on all matters brought before the membership during regular meetings. In the absence of the voting delegate, an alternate shall be appointed to vote for the member club in that instance.

ARTICLE IV: OFFICERS

Section 1: Designation
The officers of this Association shall consist of a President, Vice President, Secretary, and Treasurer.

Section 2: Duties
**President**: Preside over meetings and oversee all activities.
**Vice President**: Assist the President and assume their duties in their absence.

**Secretary**: Maintain accurate records of meetings and handle correspondence. **Treasurer**: Manage and report on financial accounts, collect and deposit monies.

Section 3: Vacancies
In the event that the office of President becomes vacant, the Vice-President succeeds for the remainder of the term. All other vacancies shall be filled by a majority vote of the Association.

ARTICLE V: ELECTIONS

Section 1: Nominations
Nominations for officers shall be made from among the active member clubs at least one month prior to elections.

Section 2: Voting
Every two years elections will be held during the April meeting. A simple majority vote of the general membership in attendance shall determine election outcomes.

Section 3: Term Length
Officers shall serve for two (2) year terms, but may be re-elected for consecutive terms. They will assume their duties at the close of the May meeting in preparation for the upcoming year.

ARTICLE VI: MEETINGS

Section 1: Regular Meetings
Regular meetings are held monthly, from October through May, at a time and place designated by the Executive Board. No meetings are held in January, June, July, August or September.

Section 2: Special Meetings
Special meetings may be called by any officer with notice provided to all members at least five days prior to such meeting.

Section 3: Quorum
A quorum for conducting business consists of two-thirds of the Executive Board to be present.

ARTICLE VII: EXECUTIVE BOARD

Section 1:
The Executive Board shall consist of the 4 elected officers, current club member presidents and the immediate past-president of SBGCA.

Section 2:
The board shall meet once yearly or more frequently as needed to plan activities and manage organizational affairs.

ARTICLE VIII: COMMITTEES

Committees may be established or eliminated as necessary to carry out specific tasks related to horticulture education, event planning, outreach programs or other objectives outlined in these bylaws. Each committee will report its findings or recommendations back to the Executive Board and general membership.

ARTICLE IX: PARLIAMENTARY AUTHORITY

The rules contained in Robert’s Rules of Order Newly Revised shall govern this association in all cases where they are applicable unless otherwise stated within these bylaws.
